Terms of Service
These Terms of Service (“Terms”) govern your use of the HVAC Revenue Recovery website, demo phone line, AI callback and demo-booking features, and related services provided by Monay & Company LLC, a Wyoming limited liability company doing business as Monay & Associates (“we,” “us,” or “our”). By using the website or our services, you agree to these Terms. If you are using them on behalf of a business, you confirm that you are authorized to accept these Terms for that business.
1. Our services
HVAC Revenue Recovery offers independent HVAC contractors software and setup services that may include an AI receptionist that answers calls in the contractor’s business name, intake and qualification workflows, appointment booking connected to the contractor’s calendar, missed-call follow-up, and a branded website built from our HVAC template. Product features, screens and the “Summit Heating & Air” brand shown on this website are demonstrations with illustrative data and do not depict an actual client or actual results.
2. Proposals & agreements
Paid services are provided only under a written proposal and service agreement signed or accepted by you (together, your “Agreement”). Your Agreement describes scope, deliverables, timeline, fees, usage limits and any service-specific terms. If your Agreement conflicts with these Terms, your Agreement controls. Nothing goes live on your phone line or website until you have reviewed and approved it.
3. Pricing & billing
- Prices shown on the website are starting list prices in U.S. dollars and may be adjusted in your proposal based on scope.
- Setup fees are one-time and are earned when setup work begins [ATTORNEY TO CONFIRM refund treatment of setup fees].
- Monthly fees are billed in advance and renew automatically each month until cancelled as described in your Agreement.
- Annual billing, where offered, is available only if it is confirmed in your written proposal. “2 months free” means annual billing is charged at 10× the monthly list price for 12 months of service.
- Usage-based costs (for example, telephone minutes, phone numbers, or text-message fees charged by carriers or platforms) are included or passed through as stated in your Agreement.
- Fees are exclusive of taxes, which you are responsible for where applicable. Late or failed payments may result in suspension of services after notice.
4. AI receptionist & emergencies
Our AI receptionist uses automated speech recognition and generative AI. It is designed to disclose that it is an AI assistant, to offer only appointment times from the calendar you connect, and to follow the escalation path you configure. AI systems can misunderstand callers, make mistakes, or be unavailable because of carrier, platform, internet or third-party outages. You should review call summaries and bookings and keep a backup way for customers to reach you.
Not an emergency service. The AI receptionist is not a substitute for 911, your gas utility, or emergency responders. For a suspected gas leak, carbon-monoxide alarm, smoke or fire, callers are instructed to leave the building and call 911 or the utility, and the call is routed to your designated contact. We are not responsible for emergency response.
5. Demos, callbacks & consent
You may request a live demo or an AI callback through our website. We place AI-generated, prerecorded or automated telemarketing calls only to people who have given prior express written consent through our AI Callback form or an equivalent signed consent. Consent is not a condition of purchase and may be revoked at any time by telling the caller, replying STOP to a text (if applicable), or contacting us. Calls to and from our demo line may be recorded and transcribed as described in our Privacy Policy.
6. Client responsibilities
If you are a client, you are responsible for:
- Providing accurate business information, service areas, pricing guidance, policies, escalation contacts and calendar availability, and keeping them current;
- Reviewing and approving greetings, scripts, disclosures, workflows and website content before launch;
- Your own compliance with laws that apply to your business and communications with your customers, including the Telephone Consumer Protection Act, the Telemarketing Sales Rule, state telemarketing and call-recording laws, text-messaging rules and carrier requirements, and privacy laws, including providing any notices and obtaining any consents your customers must give;
- Any outbound calls or messages you direct us to send, and maintaining your own do-not-call lists;
- Your licensing, permits, workmanship, quotes and the services you perform for your customers; and
- Keeping account credentials confidential and telling us promptly about any unauthorized use.
7. Acceptable use
You agree not to use the website or services to: break any law or third-party right; send unsolicited or non-consented automated calls or messages; impersonate any person; transmit malware or interfere with our systems; scrape, reverse-engineer, or attempt to gain unauthorized access; or submit false information, including entering someone else’s phone number on our consent forms. We may suspend access that we reasonably believe violates these Terms.
8. Intellectual property
We and our licensors own the website, templates, software, workflows, scripts, designs and other materials we provide, and all related intellectual property rights. Subject to your Agreement and payment of fees, we grant you a limited, non-exclusive, non-transferable right to use the deliverables for your business during the term. You keep ownership of your business name, logos, content and customer data, and you grant us permission to use them to provide the services. [ATTORNEY TO CONFIRM: ownership/transfer of website content and domain on termination.] If you send us feedback, we may use it without obligation to you.
9. Third-party services
Our services rely on third-party platforms such as CRM and automation software, telephony and voice-AI providers, calendar tools, hosting and payment processors. Your use of those services may be subject to their terms. We are not responsible for third-party services, outages or changes, but we will work with you in good faith to address issues that affect your services.
10. No guarantee of results
We provide software and setup services designed to help you answer, qualify and follow up on calls more consistently. We do not guarantee call volume, answer rates, bookings, revenue, profit, search rankings or any other business outcome. Any examples or demo data on our website are illustrative only.
11. Disclaimers
Except as expressly stated in your Agreement, the website and services are provided “as is” and “as available,” and we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the services will be uninterrupted, error-free or that AI output will be accurate.
12. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, goodwill or data, even if advised of their possibility. Our total liability arising out of or relating to the website or services will not exceed the fees you paid us for the services giving rise to the claim during the three (3) months before the event giving rise to liability [ATTORNEY TO CONFIRM cap], or one hundred U.S. dollars ($100) if you have not paid us any fees.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
If you are a client, you will defend, indemnify and hold us harmless from claims, losses and expenses (including reasonable attorneys’ fees) arising from your content or instructions, your services to your customers, your violation of law (including telemarketing, messaging and privacy laws), or your breach of these Terms or your Agreement.
14. Term & termination
These Terms apply while you use the website or services. Either party may terminate paid services as described in your Agreement. We may suspend or terminate access for material breach, non-payment after notice, or unlawful use. On termination, fees accrued remain due, and sections that by their nature should survive (including payment, intellectual property, disclaimers, limitation of liability, indemnification and governing law) will survive. We will make your data available for export for a reasonable period after termination as described in your Agreement.
15. Governing law & disputes
These Terms are governed by the laws of the State of [Wyoming — ATTORNEY TO CONFIRM], without regard to conflict-of-laws rules. Before filing any claim, each party agrees to try to resolve the dispute informally by written notice and at least thirty (30) days of good-faith discussion. Any remaining dispute will be resolved in the state or federal courts located in [VENUE — ATTORNEY TO CONFIRM], unless your Agreement provides for arbitration. [ATTORNEY TO DECIDE: arbitration clause and class-action waiver.]
16. General
We may update these Terms by posting a new version on this page with a new effective date; material changes will not apply retroactively to a signed Agreement without your consent. These Terms, our Privacy Policy and your Agreement are the entire agreement between us about their subject matter. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
